Post-Enron Proxy Voting

Paul Newhauser, the attorney who has assisted ICCR with SEC issues for many years, made these recommendations at the February ICCR meeting for those of you who will be voting proxies this spring:

Vote “NO” on Arthur Andersen.

Protest non-audit fees paid to auditors.

Vote against any candidate for the board who is on the Audit Committee but not independent of the company. (You may need to dig into the materials sent you to figure this out.)

Mr. Newhauser has also recently come to the conclusion that companies should change auditors every 5-7 years.
